These Terms of Service (“Terms”) govern your access to and use of the Take the Leads platform, including the website, web application, mobile application, and related services (collectively, the “Service”). Take the Leads is a product of Atomic Software LLC (“Atomic Software,” “we,” “us,” or “our”).
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use the Service.

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.
The Service is offered under subscription plans, which may include free trials and paid tiers. Details of available plans, features, and pricing are displayed during the registration process and in the Billing section of the Service.
Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Payment is processed by Stripe, our third-party payment processor. You agree to provide a valid payment method and authorize us to charge it for all fees incurred.
We may offer a free trial period. At the end of the trial, your account will be converted to a paid subscription unless you cancel before the trial ends. We will not charge your payment method during the trial period unless you explicitly upgrade.
You may cancel your subscription at any time through your account settings. Upon cancellation, your access to paid features will continue until the end of the current billing period. We do not provide prorated refunds for unused portions of a billing period. If you believe you have been charged in error, contact us at support@take-the-leads.com within 30 days.
We may change subscription pricing with at least 30 days’ advance notice. Price changes will take effect at the start of your next billing cycle following the notice.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

The Service allows you to connect third-party lead platforms or forward lead notification emails. You are responsible for ensuring that your use of data from third-party platforms complies with those platforms’ terms of service and applicable laws.
We aggregate and process lead data as received from third-party platforms and forwarded emails. We do not guarantee the accuracy, completeness, or timeliness of lead information. Lead scores and priority levels are algorithmically generated and are intended as guidance, not guarantees.
When you communicate with customers through the Service (messages, quotes, etc.), you are solely responsible for the content and accuracy of those communications. You represent that any communications sent comply with applicable laws, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
By enabling SMS notifications and providing your phone number, you consent to receive automated text messages related to the Service, including lead alerts and system notifications. You may opt out at any time by adjusting your notification settings or replying STOP to any message. Standard message and data rates may apply. SMS is provided through Twilio and delivery is subject to carrier availability.
The Service, including its design, code, features, documentation, and branding (logos, trademarks, trade names), is the property of Atomic Software LLC and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription.
You retain ownership of any content you create, upload, or submit through the Service (notes, messages, custom configurations). By using the Service, you grant us a limited license to store, process, and display your content as necessary to operate the Service.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATOMIC SOFTWARE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Atomic Software LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:
These Terms are effective from the date you create an account and remain in effect until your account is terminated.
You may terminate your account at any time by contacting us at support@take-the-leads.com or through your account settings.
We may suspend or terminate your account at any time, with or without cause, including for violation of these Terms. We will make reasonable efforts to notify you before termination, except in cases of serious violations.
Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period as described in our Privacy Policy. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) will survive.
These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law provisions.
Before filing any formal claim, you agree to attempt to resolve the dispute informally by contacting us at support@take-the-leads.com. We will attempt to resolve the dispute within 30 days.
If informal resolution fails, any disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Minneapolis, Minnesota. Each party shall bear its own costs.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
We may modify these Terms at any time. Material changes will be communicated via email or prominent notice within the Service at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
